A North Wales haulage and vehicle servicing and repairs business has changed hands and its new owners have unveiled plans to invest for growth.

NPC Commercials, based at a two-acre site on the Llay Industrial Estate in Wrexham, operates a fleet of tipper wagons, box trailers and curtainsiders that carry out haulage across England, Scotland and Wales for construction, landscaping, retail and industrial clients.

Its garage provides servicing and repairs for cars, vans and heavy goods vehicles.

The £1.5m-turnover business has been acquired for an undisclosed sum by NPC Billington, a newly-formed company led by Gary Billington and including his daughter Georgi Billington and Callum Watkins, who has taken up the role of operations director at NPC Commercials.

NPC Commercials, which was established in 2012, currently employs 14 staff. The founders and previous owners, Nick Pendleton, Clive Roberts and Paul Travis, are remaining with the business.

A team at law firm Bermans, which has offices in Manchester and Liverpool, acted for Gary Billington and his colleagues on the acquisition.

The Bermans team was led by client partner James Harris, with corporate advice from partner Charlotte Mills, property assistance from Cosmin Armene and employment advice from Alex Murray.

Oliver Wadlow, of corporate finance firm Alinea, and James Hargreaves, of accountancy practice Hargreaves & Woods, also advised the buyout team.

Georgi Billington said plans for the business include expanding the garage, upgrading its workshop facilities, investing in technology to enhance the customer experience, recruiting staff in line with the growth strategy and adding vehicles to the haulage fleet.

She said: “NPC Commercials is a successful, well-run business which ticked all the boxes for us. This acquisition aligns perfectly with our vision, with scope to expand and enhance our product and service offerings while also improving the customer experience.

“Bermans played a key role in navigating the complex legal aspects of the sale and ensured it was a smooth and efficient transaction.”

Nick Pendleton said: “It was a great pleasure to do business with Gary and his great team. Their acquisition of NPC Commercials will help the company grow, and the future for the business and all the staff is very exciting.”

Charlotte Mills said: “NPC Commercials is a lovely local business and Gary has been keen to get involved from day one. I’m delighted we’ve been able to advise him on the transaction and wish him and his team all the best for the future.”
