    South Wales renewable firm sold in multi-million pound deal

    A&D Carbon Solutions, a fast-growing renewable energy company based in Swansea, has been acquired by EARNZ PLC in a landmark deal worth £2.8 million.
    With legal support from leading law firm Peter Lynn and Partners, the strategic move marks a major milestone in South Wales’ green economy, opening the door to fresh investment, job security, and future growth.
    The acquisition, finalised on 12th June, sees A&D Carbon Solutions – specialists in low-carbon technology such as air source heat pumps and solar panel installations – become part of the EARNZ PLC Group, a publicly listed company focused on delivering energy efficiency solutions across the UK.
    Founded and run by Directors Alan Thomas and Dean Holloway, A&D has carved out a strong reputation for delivering high-quality renewable installations for residential clients.
    The deal, which also involved allotments of shares in EARNZ to the sellers, gives A&D the financial backing and corporate expertise to scale its services and accelerate its impact.
    “We’re incredibly proud of what we’ve built and are excited for the next chapter,” said Alan Thomas. “EARNZ brings resources and strategic vision that align perfectly with our values and ambition.”
    Dean Holloway added: “This move strengthens our ability to deliver sustainable solutions at scale, without compromising the local service and quality our customers expect.”
    The transaction was managed by Peter Lynn and Partners Solicitors, who acted for the A&D shareholders. From the first meeting on 1st April to completion just ten weeks later, the firm delivered the high-level legal support needed to satisfy the extensive due diligence requirements of a PLC deal.
    James Lewis-Hyndman, Company & Commercial Solicitor at Peter Lynn and Partners, commented, “This deal demonstrates what’s possible with a proactive legal strategy. From corporate structuring to contract review and due diligence, we ensured every box was ticked. It’s a big win for all involved.”

    As part of the agreement, both Alan and Dean will remain in their leadership roles to oversee day-to-day operations. EARNZ CFO Elizabeth Lake has joined the board of A&D, bringing decades of financial and strategic experience.
    All jobs have been safeguarded, existing contracts remain in place, and A&D is now poised for major growth under its new parent company.
